Terms of Service

The short version: you own the software Sapilon produces, you are responsible for the applications you choose to run, and you can take your code and leave at any time.

Working draft. This document is pending formal legal review ahead of general availability. It reflects how we actually operate today, but wording may change once counsel signs off.

1. Acceptance

These Terms of Service ("Terms") are an agreement between you and Sapilon ("Sapilon", "we", "us"). They govern your use of sapilon.com, the Sapilon platform at https://web.sapilon.com, and the early-access program. By creating an account, joining the waitlist, or using the platform, you agree to these Terms. If you use Sapilon on behalf of a company, you confirm you have authority to bind that company, and "you" means the company.

2. Definitions

  • Platform: the Sapilon web applications, APIs, agents, and tooling we operate for you.
  • Generated Software: the application code, configuration, and infrastructure definitions the Platform produces for your projects, delivered as plain Git repositories.
  • Your Content: everything you bring to or create on the Platform: source code, data, prompts, documents, artifacts, and project configuration.
  • Environments: the Build, Rehearsal, and Live Servers on which your projects run.
  • Experts: independent, verified specialists offering services through the Sapilon experts marketplace.
  • Wallet: your prepaid balance used to pay for Platform usage.

3. Early access

Sapilon is currently in early access. Participation is offered at our discretion, may be limited or waitlisted, and the Platform is provided "as is" while in development. We may add, change, or remove capabilities before general availability, and early-access pricing or promotional credit may differ from what we offer at launch. We will give reasonable notice before changes that materially affect projects you are running.

4. Accounts

You must provide accurate account information and keep your credentials secure. You are responsible for activity under your account. Notify us promptly at we@sapilon.com if you suspect unauthorized access. Sapilon is a professional tool intended for business use; it is not directed at children under 16.

5. Pricing & wallet

Sapilon uses a prepaid wallet with pay-as-you-go pricing: no subscription and no per-seat fees. You top up your wallet in advance; usage (AI work, environments, expert services) draws the balance down at the rates published on the pricing page. Prices include what the rate card says they include; taxes are added where the law requires. Unused promotional credit is not redeemable for cash and may expire as stated when granted. Payments are processed by our payment provider; we never store full card details ourselves.

6. Your software & IP

You own the Generated Software and Your Content, unambiguously. To the extent the Platform's output attracts any intellectual-property rights of ours, we assign them to you on creation. Generated Software is delivered as plain Git repositories built on open libraries and deployed to your own AWS account: there is no proprietary runtime and no lock-in, and you can export your repositories and leave at any time.

The Platform itself (our applications, agents, models of working, and documentation) remains ours. You receive a non-exclusive, non-transferable right to use it under these Terms. You grant us the limited rights needed to operate the service: hosting and processing Your Content, and sending it to the sub-processors listed in the Data Processing Agreement to provide the features you use. We do not use Your Content to train AI models.

7. AI-generated software: your responsibility

Sapilon governs AI so that its work is constrained, logged, diffable, and reversible: ownership zones define what the AI may change, automated review runs on generated changes, and everything ships through Build and Rehearsal Servers before it reaches a Live Server. These controls reduce risk. They do not eliminate it, and they do not transfer it to us.

You are the operator of the applications built with Sapilon. You decide what to review, what to test, and what to deploy to production. Accordingly, and to the maximum extent the law allows:

  • You are responsible for reviewing and testing Generated Software before relying on it in production.
  • Data loss, security vulnerabilities, downtime, or regulatory and compliance failures in your applications are your responsibility, not ours. This includes your application's compliance with laws that apply to your business (such as GDPR obligations toward your own users, sector rules, or accessibility requirements).
  • We are not a party to the relationship between you and your application's users.

Where we operate the Platform itself, we remain responsible for the Platform; see the Trust & Security page and the DPA for what we commit to there.

8. Experts marketplace

The experts marketplace connects you with independent specialists who review AI-escalated decisions or provide other services. Experts are not Sapilon employees or agents; Sapilon acts as an intermediary that verifies experts, publishes their all-inclusive rates, and handles payment through your wallet. The professional services themselves are delivered by the expert, and a separate expert agreement governs their conduct, confidentiality, and quality obligations toward the marketplace. The full allocation of responsibility between you, the expert, and Sapilon (including the complaints process) is set out in the Marketplace Terms, which form part of these Terms when you use expert services.

9. Third-party services

The Platform depends on third-party services, most notably AWS (where your Environments and infrastructure run, in your own AWS account where applicable) and Anthropic (whose Claude models perform AI work). Your use of your own AWS account is governed by your agreement with AWS, including AWS charges, which are yours. We pass Your Content to these providers only as needed to deliver the service, under the terms described in the DPA.

10. Acceptable use

You agree not to use the Platform to:

  • break the law, or build applications whose purpose is unlawful;
  • infringe others' intellectual-property, privacy, or contractual rights;
  • probe, disable, or overload the Platform or other customers' projects;
  • resell Platform access or AI output as a raw model API;
  • misrepresent AI-generated work as independently audited or certified when it is not.

Security researchers acting in good faith under our responsible disclosure policy are welcome.

11. Warranties & liability

During early access the Platform is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that Generated Software is free of defects or vulnerabilities.

To the maximum extent permitted by law, our total liability arising out of these Terms is limited to the amounts you paid us in the twelve months before the claim, and neither party is liable for indirect, incidental, or consequential damages, including lost profits or lost data in your applications. Nothing in these Terms limits liability that cannot be limited by law, such as liability for intent or gross negligence, or your statutory rights if you are a consumer.

12. Suspension & termination

You can stop using Sapilon at any time; because your software lives in plain Git and your own AWS account, leaving does not require our cooperation. We may suspend or terminate accounts that materially breach these Terms, with notice where practicable. On termination we will make remaining project data available for export for at least 30 days, then delete it in line with the Privacy Policy. Any unused paid (non-promotional) wallet balance is refunded on request.

13. Changes to these terms

We may update these Terms as the product evolves, and will note the date at the top of this page. For material changes we will notify account holders by email or in the Platform at least 14 days in advance. Continuing to use Sapilon after a change takes effect means you accept it.

14. Governing law

These Terms are governed by the laws of Sapilon's country of establishment in the European Union, without regard to conflict-of-law rules; the specific jurisdiction and venue will be stated here when formal legal review completes before general availability. Mandatory consumer-protection rules of your country of residence are unaffected.
